Top-tier U.S. law firm seeking an Associate to join its Corporate and Private Equity team in San Francisco to focus on acquisition finance and sponsor-backed transactions. The role will support leveraged buyouts, sponsor and independent-sponsor acquisitions, minority and growth investments, and related financings.

You'll work with deal teams across fund formation, private equity investment structures and debt financing aspects of transactions, advising emerging managers, sponsors and institutional investors. The position offers substantive transaction experience on a broad range of buy-side and sponsor-side matters.

Prior experience on acquisition finance or private equity transactions (e.g., LBOs, sponsor-backed deals or buyouts)
Strong drafting and transactional skills; capable of handling financing documentation and deal negotiations
J.D. from an accredited law school and admission to practice in the relevant U.S. jurisdiction
Ability to work on fast-paced deal schedules and collaborate across multidisciplinary deal teams
