02 The process

How does a retained general counsel executive search work?

A retained general counsel executive search runs in six stages, from a written Mandate Blueprint in week 1 to a shortlist in weeks 3–4 and an accepted offer around week 11.

  1. Week 1

    Mandate Blueprint

Seat, reporting line, pay band, off-limits and the written terms: fee, retainer and replacement window go in the letter before anyone is called.

  2. Weeks 1–2

    Total-market mapping

Every sitting lawyer who fits the seat, not only the ones on the market. The strongest general counsel candidates are in post and not applying.

  3. Weeks 2–4

    Private outreach

Blind both ways until mutual interest is confirmed. No CV leaves us without the candidate's written consent. Conflicts are checked before the first call; NDA on request.

  4. Weeks 3–4

    Shortlist with assessment dossiers

A GC or CLO shortlist arrives in 24 days on average (52 searches); senior counsel in 18 days (87 searches).

  5. Weeks 5–9

    Interviews and offer engineering

Interview loop with the CEO and board, references, and an offer benchmarked to stage before the number is set.

  6. Close

    Closing, notice and onboarding

Resignation, counter-offer and notice handled to the start date, then check-ins at 90 days, 12 months and 24 months.

One file end to end: a NASDAQ-listed medtech in Boston ran a blind succession, saw four dossiers on day 24 and accepted in week 11. Step by step for the company side: how to run a general counsel search. Method: how we run a search.

03 Fees

What does an in-house counsel search cost?

An in-house counsel search costs 25–30 percent of the hire's total first-year compensation, retained, with 30 percent of the fee paid at engagement and kept if the search is cancelled.

  • Fee. 25–30% of first-year total compensation. Retained only, every search; no contingency.
  • Retainer. 30% of the fee at engagement, kept if the client cancels the search.
  • Replacement. 12 months on GC, CLO and CCO searches; 6 months on other in-house seats.
  • Off-limits. We never recruit from a client's legal department for 24 months after a mandate, and never approach a lawyer we placed for as long as they stay.
  • Interim and fractional. Day rate; days billed are credited against a later retained fee for the same seat.

What the hire costs: a Series B–C first GC is a $240,000–$340,000 base with a 20–40% bonus; a mid-cap listed GC $450,000–$650,000 with 60–100%; a deputy GC or Head of Legal $220,000–$380,000 (Sartori & Partners bands, 2026). At the top of the market, sitting general counsel who are named executive officers at 236 of the largest US-listed companies had median total compensation of $4.76m in the 2026 proxy season (Sartori & Partners analysis of SEC proxy filings). In-house counsel recruiting: questions companies ask

Who are the best general counsel search firms?

No independent ranking of general counsel search firms exists, so judge them on terms and evidence. Ask for a retained engagement, a seat-specific clock with its base, the fee, replacement window and off-limits in the letter, and a confidentiality protocol. Ours: 52 GC and CLO searches since 2017, shortlist in 24 days, median accepted offer in 11 weeks (range 8–16), 25–30 percent of first-year total compensation, 12-month replacement. The checklist is in how to choose a legal search firm.

How long does a general counsel search take?

A general counsel search takes a median 11 weeks from brief to accepted offer (range 8–16), with a shortlist in 24 days, across 52 GC and CLO searches since 2017. Deputy GC and Head of Legal searches run 21 days to shortlist and 10 weeks to offer (47 searches); senior counsel 18 days and 8 weeks (87); compliance leadership 21 days and 10 weeks (36); legal operations 20 days and 9 weeks (12). A PE-backed portfolio GC runs longer: 26 days and 12 weeks. The week-by-week calendar is in the general counsel search process.

How much does a general counsel search cost?

A general counsel search costs 25–30 percent of the hire's total first-year compensation, retained, with 30 percent of that fee paid as a retainer at engagement. The retainer is kept if the client cancels the search. Replacement is 12 months on GC, CLO and CCO searches and 6 months on other in-house seats; we do not recruit from the client's legal department for 24 months. Worked numbers: how much a general counsel costs and in-house search fees, guarantee and off-limits.

Retained or contingency search for in-house lawyers?

We run every in-house search retained; we do not take contingency work. A sitting general counsel, a successor search or a first legal hire needs the company kept unnamed until mutual interest is confirmed, and the candidates who fit are in post and not applying. Retained means the market is mapped once, privately, against a written brief, instead of a race to send CVs. Fee mechanics side by side: legal recruitment fees explained.

When should a company hire its first general counsel?

Hire a first general counsel when legal risk, deal volume or regulatory exposure outgrows outside counsel managed ad hoc, often around a financing, an acquisition or a regulated product launch. At Series B–C the median in-house bench is one lawyer, and a first GC at that stage is a $240,000–$340,000 base plus a 20–40 percent bonus. The seat is briefed on first general counsel search; the decision is in hiring your first general counsel.

Permanent general counsel, or interim and fractional counsel?

A permanent general counsel fits when legal is a standing function the board will rely on for years; interim or fractional counsel fits a defined gap or a budget not yet ready for a full-time officer. Across 60+ interim and fractional engagements, counted outside the 230+ in-house placements, the median start is 7 days. Days billed are credited against a later retained fee for the same seat. See fractional general counsel, interim general counsel and interim versus permanent in-house counsel.

Who recruits general counsel for private equity portfolio companies?

Retained legal search firms recruit portfolio-company general counsel; ours runs 26 days to shortlist and 12 weeks to an accepted offer on PE-backed GC searches. The brief is usually a first lawyer or a replacement who can carry a sponsor pack, a refinancing and an exit file. PE-backed portfolio GC cash sits at a $280,000–$420,000 base with a 25–50 percent bonus. See private equity portfolio GC search and hiring in-house counsel for PE-backed companies.

How do you keep a general counsel succession confidential?

The search runs blind both ways: candidates do not learn the company, and the company does not see a CV, until mutual interest is confirmed and the candidate consents in writing. Conflicts are checked before outreach and an NDA is signed on request. In the Boston medtech succession the sitting general counsel was never shopped. The seat is briefed on general counsel succession.
