A Silicon Valley office has an immediate opening for a corporate associate with 3–5 years of experience to join its Corporate & Securities – Technology group.

The team advises entrepreneurs, venture capitalists, and emerging growth companies across the full lifecycle — from company formation through financings, corporate governance, technology transactions, acquisitions, and public offerings. The practice is structured to scale with clients, operating as a specialty boutique for early-stage startups and expanding as those companies mature.

Candidates will work on all aspects of mergers and acquisitions involving public and private companies, including drafting and negotiating acquisition agreements and ancillary documents, supervising junior associates, and managing and closing transactions. Experience with emerging technology companies — corporate formation, seed and venture financings, general corporate work, and governance and compliance — is also expected.

  • 3–5 years of corporate and securities experience
  • Experience in all aspects of M&A involving public and private companies, including drafting and negotiating acquisition agreements and ancillary documents, supervising junior associates, and managing closings
  • Experience with emerging technology companies: corporate formation, seed and venture financings, general corporate work, governance and compliance
  • High level of academic achievement from a nationally recognized law school
  • Exceptional oral, written, and interpersonal skills with strong attention to detail
  • Ambitious, highly motivated, strong work ethic and leadership skills
  • Interest in taking on increased responsibility and good business and strategic judgment
  • Ability to handle day-to-day demands and workflow in a team-oriented, dynamic environment
  • Admission to practice in California strongly preferred but not required
  • Experience at an AmLaw 100 firm, preferably in Silicon Valley or a similar tech environment, and public company experience (IPOs, other public offerings, SEC reporting) preferred
