Public Company and Capital Markets Associate

We are seeking a corporate associate to join an active and sophisticated public company and capital markets practice. This role offers the chance to advise a broad base of public company clients on the full range of securities and governance matters while working on prominent capital markets transactions.

The position involves representing issuers and investment banks in IPOs, follow-on offerings, PIPEs, and ATM programs, alongside ongoing public company reporting and governance work. The successful candidate will handle SEC and stock exchange compliance, corporate governance matters, and day-to-day counseling for public companies.

This is a multi-office opening, with preferred locations in San Francisco, Palo Alto, or Austin. The firm offers a collegial environment and a robust platform for associates looking to deepen their capital markets and public company expertise.

• 3–7 years of corporate experience in capital markets transactions and public company reporting/governance
• Ability to handle the full range of public company work, including SEC and stock exchange compliance and governance
• Experience representing issuers or investment banks in IPOs, follow-on offerings, PIPEs, and ATM programs
• Strong day-to-day counseling and client-management skills
