The position requires sound legal judgment, strong drafting skills, meticulous attention to detail, and the ability to manage multiple transaction workstreams in a fast-paced, collaborative environment. Associates coordinate with clients, colleagues, opposing counsel, intermediaries, and regulators to meet timelines and deliverables.

  • Experience representing corporate issuers, investment banks, financial institutions, or other participants in equity/debt capital markets, public offerings, private placements, or related securities transactions
  • Strong knowledge of securities laws, filings, disclosure obligations, corporate governance requirements, and market practice
  • Proven ability to draft, review, and negotiate transaction documents and offering materials with accuracy and sound judgment
  • Excellent legal research, analytical, problem-solving, organizational, and project management skills
  • Clear communication and ability to build effective client relationships and collaborate across teams
  • Proficiency in using artificial intelligence technologies responsibly and ethically in legal practice
