Mid-level associate role in a busy corporate M&A and securities practice based in Houston. The group advises public and private issuers on capital markets transactions, SEC and exchange reporting, disclosure and corporate governance matters.

The successful candidate will work on public and private offerings of debt and equity, prepare Exchange Act filings and counsel public companies on reporting and compliance. Opportunity to work on M&A matters as well; role sits in a collaborative team with international platform and clear advancement pathways.

3-5 years of securities/corporate transactional experience (capital markets and/or public company reporting)
Demonstrated experience representing issuers in public and private offerings of debt and equity
Experience with SEC interaction, Exchange Act filings (Forms 10-K, 10-Q, 8-K) and proxy statements
Public and private company M&A experience a strong plus
Strong interpersonal and communication skills; ability to manage client relationships
Excellent academic credentials; experience at a large regional, national or international law firm preferred
