National private-equity-focused compensation and benefits team is seeking an associate with substantial executive compensation and employee benefits experience to work on acquisition, divestiture and portfolio company matters. The role emphasizes advising sponsors and their portfolio companies on equity and incentive arrangements, management rollovers, employment and severance arrangements, and related transactional issues.

Work will cover grants of profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and day-to-day portfolio company counseling. Candidates will also handle compensation issues in M&A and compliance with IRC Sections 280G and 409A.

5+ years post-qualification experience advising on executive compensation and employee benefits matters, with private equity sponsor and portfolio company experience
Practical experience with grants of equity and profits interests, LLC incentive arrangements, management holdco and rollover equity structures
Experience advising on M&A-related compensation issues and IRC Sections 280G and 409A
Excellent drafting, communication and analytical skills; strong academic credentials
