Compensation & Benefits Associate — Private Equity, Los Angeles

A growing compensation and benefits team seeks an experienced Associate to advise private equity sponsors and their portfolio companies on executive compensation and employee benefits matters. The role focuses on deal work and ongoing portfolio-company support, including grants of profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements.

Strong technical experience with IRC Sections 280G and 409A, and prior involvement in M&A for privately held companies, is required. • Minimum 5 years of relevant post-qualification experience advising on executive compensation and employee benefits.
• Experience representing private equity sponsors in acquisitions, divestitures and portfolio-company matters (profits interests, LLC awards, rollover equity, management holdco structures).
• Technical knowledge of IRC Sections 280G and 409A and experience on M&A involving privately held companies.
• Excellent drafting, oral communication and analytical skills; strong academic credentials.
