A leading law firm's Compensation & Benefits practice group is seeking an experienced Associate to join its team. The role centers on advising clients in the private equity space, with substantial responsibility for executive compensation and employee benefits matters in transactional and portfolio company contexts.

The position involves representing private equity sponsors in acquisitions and divestitures, along with day-to-day portfolio company counseling. Work includes structuring grants of profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements. Associates also handle matters involving other privately held companies in M&A and advise on IRC Sections 280G and 409A.

Candidates should bring strong academic credentials and superior writing, oral communication, and analytical skills, and be ready to take on meaningful responsibility within a collaborative practice.

5+ years of experience in executive compensation and employee benefits
Emphasis on representing private equity sponsors in acquisitions and divestitures
Experience with portfolio company matters, including profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements
Experience with M&A involving privately held companies
Working knowledge of IRC Sections 280G and 409A
Excellent academic credentials
Superior writing, oral communication, and analytical skills
