We are seeking an Associate to join a Compensation & Benefits group focused on private equity matters. The role centers on advising sponsors and portfolio companies on executive compensation and employee benefits in the context of acquisitions, divestitures and ongoing portfolio-company needs.

Typical work includes drafting and negotiating equity and LLC incentive arrangements (including profits interests and rollover equity), management holdco arrangements, employment and severance agreements, and counselling on IRC Sections 280G and 409A. The team supports transactional and day-to-day employee-benefits matters for privately held businesses.

5+ years of post-qualification experience advising on executive compensation and employee benefits
Significant experience representing private equity sponsors and portfolio companies on acquisitions, divestitures and equity incentive arrangements
Proficiency with LLC incentive awards (profits interests), management holdco/rollover arrangements, and employment/severance documents
Technical knowledge of IRC Sections 280G and 409A
Excellent drafting, oral communication and analytical skills; strong academic credentials
