A leading global law firm seeks a mid-to-senior associate to join its Compensation & Benefits practice. The role focuses on advising clients on executive compensation and employee benefits matters, with a strong emphasis on representing private equity sponsors in acquisitions and divestitures.

The associate will handle day-to-day portfolio company matters, including grants of profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements. Experience with mergers and acquisitions involving privately held companies, as well as IRC Sections 280G and 409A, is required.

Candidates should possess excellent academic credentials and superior writing, oral communication, and analytical skills. The position is open across multiple U.S. offices, and the expected annual pay range for this position is $365,000+.

5+ years of experience advising on executive compensation and employee benefits matters
Particular emphasis on representing private equity sponsors in acquisitions and divestitures
Experience with day-to-day portfolio company matters, including profits interests, LLC incentive awards, management holdco vehicles, rollover equity, and employment/severance arrangements
Experience with mergers and acquisitions involving privately held companies
Familiarity with IRC Sections 280G and 409A
Excellent academic credentials and superior writing, oral communication, and analytical skills
