Seeking a transactional corporate associate to join a national firm’s Venture Capital & Emerging Companies team. The role focuses on venture financings, advising startups and growth-stage companies, and supporting senior deal teams across a range of VC matters.

Typical responsibilities include drafting and negotiating venture investment agreements, advising on corporate governance and equity plans, and supervising more junior lawyers on financing and company matters. The role requires collaboration with cross-office teams; the position follows a hybrid schedule with roughly 60% in-office work.

JD or LLM from an ABA-accredited law school
Admitted or eligible for admission in New York or Massachusetts
Minimum of 4 years' transactional experience in venture capital / emerging company practice
Strong drafting and negotiation skills for VC financings and related corporate documents
Familiarity with capitalization tables and proficiency with Excel
Technology-forward approach with daily, hands-on use of legal AI tools
Excellent written and oral communication; strong attention to detail and ability to prioritize
