A leading law firm is seeking a corporate attorney with extensive experience in private equity and private real estate investment fund formation to join its Corporate Practice Group. The role is open across multiple offices.

The successful candidate will advise clients on all aspects of fund formation, private placements, and securities regulation, including the Securities Act of 1933, the Investment Advisers Act of 1940, and the Investment Company Act of 1940. Representing venture capitalists, private equity firms, hedge fund managers, and family offices in a range of transactions will be central to the work.

Experience with investment fund structuring—covering fund terms and conditions, investor negotiations, and day-to-day fund operations—is preferred. The firm offers a collegial environment and a competitive compensation package.

At least seven years of experience in fund formation, private placements, and securities regulation
Experience representing venture capitalists, private equity firms, hedge fund managers, and family offices
Experience with investment fund structuring, including fund terms, investor negotiations, and fund operations
Excellent academic credentials
Admission to the relevant state bar
