Counsel, Corporate (M&A) — New York

Senior transactional role in a major New York corporate team advising on complex domestic and cross-border transactions. The role focuses on M&A, private equity, financings and corporate reorganizations across industry sectors.

The successful candidate will draft and negotiate purchase agreements, shareholder and financing documents, and advise on regulatory and securities issues arising in international transactions. Hybrid work flexibility: up to two remote days per week within the NYC metro area.

• J.D. or LL.M. degree
• Approximately 3 years' post-qualification transactional experience (international M&A, private equity and financings)
• Experience drafting and negotiating purchase agreements, shareholder agreements, certificates of designation and financing documents
• Comfort advising on cross-border regulatory and securities issues
• Eligible for or admitted to practice in New York
