Apply in confidence →Growing corporate team seeks an associate to advise startups, emerging growth companies and venture capital investors across the company lifecycle. The role involves counseling on entity formation and governance, equity incentive plans, and routine corporate matters for high-growth and technology clients.
Primary responsibilities include drafting and negotiating venture financing documents (preferred stock purchase agreements, investors' rights, voting agreements, ROFR/ROFO), convertible note and SAFE transactions, and advising on equity compensation (stock option plans, RSUs, 409A issues). The role will collaborate closely with M&A, capital markets, technology and life sciences practitioners.
This is a U.S.-based position; candidates should be able to practice in the hiring office location and will join a national practice that supports cross-office matters.
- 3–5 years' experience representing startups, emerging growth companies and/or venture capital investors
- Substantive experience drafting and negotiating VC financings and familiarity with NVCA-style documentation
- Experience with Delaware corporate law, equity incentive plans and corporate governance for private companies
- Strong academic credentials and prior experience at a nationally recognized law firm or equivalent transactional practice
- Bar admission (or ability to obtain prompt admission) in the U.S. office location
