Emerging Companies & Venture Capital Associate

We are seeking a highly qualified associate to join a nationally recognized Emerging Companies & Venture Capital (ECVC) practice. The team advises startups and emerging growth and technology companies, their founders, and venture capital investors across every stage of the company lifecycle.

The ideal candidate will bring deep fluency in the legal and commercial frameworks that drive ECVC transactions and will have gained experience at a leading firm with a premier startup-focused practice.

Responsibilities include counseling founders and emerging companies on entity formation, corporate governance, and equity incentive structures; drafting and negotiating venture capital financing documents; advising on convertible note and SAFE transactions; and guiding clients on general corporate matters from seed stage through late-stage and pre-IPO. The role involves close collaboration with attorneys across corporate, equity compensation, M&A, capital markets, life sciences, and technology practices.

• 3–5 years of experience representing startups/emerging growth and technology companies, founders, and venture capital investors.
• Substantive experience in venture capital financings, emerging company representation, and technology transactions at a leading firm.
• Familiarity with market-standard venture financing terms and documentation, including NVCA model documents.
• Experience advising both company-side and investor-side clients in the venture capital context.
• Preferred: experience with Delaware corporate law, startup equity compensation plans (stock options, RSUs, 409A valuations), and governance for privately held technology companies.
• Strong law school academic credentials and sophisticated law firm and transaction experience.
• Bar admission (or eligibility to obtain admission promptly) in the home office location.
