Emerging Companies & Venture Capital Associate — Salt Lake City

Leading national EC/VC practice seeks a mid-level associate to join its Salt Lake City office. The role focuses on representing startups, emerging growth and technology clients, founders, and venture investors across seed through late-stage and pre-IPO transactions.

Typical responsibilities include entity formation and governance counseling, drafting and negotiating venture financing and investor-side documents (preferred stock purchase agreements, investors' rights, voting agreements, ROFR/ROFO/co-sale), and advising on convertible notes/SAFEs, equity incentive plans, and general corporate matters. The position works collaboratively with corporate, equity compensation, M&A, capital markets, life sciences, and technology teams.

• 3–5 years' relevant law firm experience in venture capital, emerging company representation, or technology transactions
• Demonstrated experience drafting and negotiating venture financings and related corporate documents; familiarity with NVCA model documents
• Knowledge of Delaware corporate law, equity compensation (stock option plans, RSUs, 409A), and corporate governance for privately held companies
• Strong academic credentials and sophisticated transaction experience
• Bar admission or eligibility to obtain admission promptly in Utah (Salt Lake City office)
