Fund Formation Associate — Corporate (Palo Alto)

An established law firm is seeking a corporate associate with two to seven years of private investment fund formation experience to join its Palo Alto office. The role sits within a busy corporate practice focused on the representation of fund sponsors and investors across the full lifecycle of private investment funds.

The position offers hands-on involvement in fund formation transactions, sponsor-level transactions involving general partner and management company entities, and secondary transactions covering limited partner and/or portfolio company interests. You will work closely with a collaborative team on sophisticated, high-value matters for a diverse client base.

• Two to seven years of private investment fund formation experience
• Experience representing fund sponsors and investors in private investment funds
• Completed fund formation, sponsor-level (GP and management company), and secondary transactions involving LP and/or portfolio company interests
• Prior corporate department experience at a national or international law firm preferred
• Strong academic credentials from a nationally recognized law school
