A prominent national law firm is seeking a mid-level associate with 4–6 years of significant experience in private equity fund formation and related matters to join its growing Investment Funds practice.

The successful candidate will advise private equity fund sponsors on fund formation, including preparing and negotiating private placement memoranda, partnership agreements, and ancillary documents. The role also involves reviewing and negotiating fund documentation on behalf of institutional investors, and structuring and drafting governing documents for fund management companies and general partners.

The position is open across multiple offices, with strong preference for Chicago, Charlotte, or New York, though candidates for other office locations will be considered. 4–6 years of significant experience in private equity fund formation and related matters.
Experience at a large law firm preferred, or in-house in special circumstances.
Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act.
Experience with private equity secondary transactions and/or GP-led restructurings is helpful.
Admitted to the state bar of the office location.
