Mid-Level Corporate Associate (Securities/Capital Markets)

An Am Law 100 firm is seeking a mid-level corporate associate with 2–4 years of securities and capital markets experience to join its national corporate practice. This is an on-track partnership position offering exposure to a broad range of complex transactions.

The corporate section provides comprehensive legal expertise and practical business counseling, advising clients on issues affecting commercial, financial, and industrial enterprises, both publicly and privately owned. The successful candidate will work with issuers, underwriters, and placement agents on capital markets transactions and with public companies on compliance and corporate governance matters.

Collaboration with team members is central to the role. The firm requires working from the office approximately 60% of the time in accordance with published guidelines. The position is open across multiple offices.

• JD or LLM from an ABA-accredited law school
• 2–4 years of capital markets experience representing issuers and underwriters/placement agents in '33 Act transactions
• Experience advising public companies on '34 Act filings, compliance, and corporate governance matters
• Admitted or eligible for admission in Massachusetts or New York
• Strong academic credentials and excellent critical reasoning skills
• Excellent written and oral communication skills, with the ability to communicate complex legal concepts
• Ability to prioritize, meet deadlines, and balance competing responsibilities
• Highly organized with strong attention to detail
• Ability to collaborate and work effectively in team settings
