Private Equity Attorney (3rd–6th Year) — Corporate, Palo Alto

An established corporate practice seeks a mid-level attorney with private equity and M&A experience to join its Palo Alto team. The role offers substantial client-facing work as an extension of client business teams, operating in a collaborative, fast-paced environment.

The position involves drafting and negotiating purchase and merger agreements, LLC and LP agreements, and other ancillary transaction documents, and otherwise supporting the day-to-day needs of private equity fund and portfolio company clients. The right candidate will take a lead role on matters and exercise sound business and strategic judgment.

• 3–6 years of private equity and M&A experience
• Prior large-firm experience working with private equity sponsors
• Excellent drafting, writing, and analytical skills
• Strong attention to detail, organizational, and project-management abilities
• Excellent academic credentials
• Strong verbal, interpersonal, and client-relationship skills
