Midlevel associate role in a national investment management practice based in Boston. The team advises on formation and structuring of private investment funds and related management entities, and regularly handles secondaries, GP-led restructurings and institutional investor/co-investment matters.

This position requires active Massachusetts bar admission and will sit in the Boston office. The role suits candidates with solid large-firm private funds experience who can draft fund and management entity documentation and advise on regulatory and structural issues for fund managers and investors.

3–5 years of private funds experience at a large law firm
Experience forming private investment funds (hedge, venture, and/or private equity funds)
Track record drafting and structuring management entity, bonus and carried‑interest documentation
Experience with secondary transactions and/or GP‑led restructurings and investor/co‑investment work
Familiarity with private fund regulatory and structural issues
Active Massachusetts bar membership required
