The team advises on formation and structuring of private investment funds and related management entities, and regularly handles secondaries, GP-led restructurings and institutional investor/co-investment matters.
This position requires active Massachusetts bar admission and will sit in the Boston office. The role suits candidates with solid large-firm private funds experience who can draft fund and management entity documentation and advise on regulatory and structural issues for fund managers and investors.
- 3–5 years of private funds experience at a large law firm
- Experience forming private investment funds (hedge, venture, and/or private equity funds)
- Track record drafting and structuring management entity, bonus and carried‑interest documentation
- Experience with secondary transactions and/or GP‑led restructurings and investor/co‑investment work
- Familiarity with private fund regulatory and structural issues
- Active Massachusetts bar membership required
