Mid-level corporate associate role in a national venture capital and emerging companies practice, open to candidates based in Boston or New York. The team advises venture-backed companies and institutional investors across the company lifecycle, from formation through late-stage financings.

Responsibilities include leading drafting and negotiation of venture transaction documents, managing diligence, counseling companies on corporate governance and securities matters, and working directly with clients alongside senior lawyers. This is a collaborative, fast-paced role with significant client contact and responsibility.

3–5 years of corporate transactional experience, with substantial venture capital and emerging growth work on both company and investor sides
Experience drafting and negotiating term sheets, SAFEs/convertible notes, preferred stock purchase agreements, investors rights and voting agreements
Admitted to, or eligible for admission to, the Massachusetts and/or New York Bar
Strong academic credentials, sound judgment, project management skills, and ability to work effectively on lean deal teams with direct client interaction
