Corporate Associate (Private Equity M&A) — Miami

Our client, a leading global law firm, is seeking corporate associates with at least four years of experience to join its sophisticated private equity M&A practice in Miami. The role offers meaningful ownership of transaction workstreams from deal inception through closing, with direct client exposure and responsibility for delivering outstanding service.

Working within a collaborative, award-winning culture, the successful candidate will draft, review and negotiate principal transaction documents, manage and execute due diligence, and drive deal execution and closings under aggressive timelines. The position involves collaborating with specialists across finance, tax, benefits, real estate, IP and litigation, as well as supervising and mentoring junior team members.

• JD from an accredited law school with strong academic credentials.
• 4–6 years of private equity and M&A experience, preferably at a large or similarly sophisticated law firm.
• Demonstrated ability to run substantial components of transactions from early stages through closing.
• Excellent drafting, negotiation and communication skills, with comfort interacting directly with clients and deal teams.
• Must be barred in Florida.
• Preferred: experience advising financial sponsors and/or strategic buyers or sellers in complex, fast-moving transactions with multiple stakeholders.
• Comfort managing multiple matters in a deadline-driven environment with proactive communication.
• Interest in staying current on market practice and legal developments relevant to private equity and M&A.
