Associate, Private Funds & Asset Management (Washington, D.C.)

A leading global law firm is seeking an experienced Private Funds Associate to join its Asset Management Group within the Corporate Department in Washington, D.C. The role centers on advising fund sponsors and institutional investors across the full lifecycle of private investment funds.

The position involves fund formation, structuring, and ongoing operation across a range of strategies and asset classes — including private equity, hedge, credit, and venture capital funds, along with other alternative investment vehicles. Associates draft and negotiate core fund documents, counsel clients on governance and economic terms, and handle regulatory compliance matters throughout the fund's life.

This is a collaborative, cross-practice role with direct partner and client contact. The successful candidate will manage multiple concurrent matters, support complex transactions such as restructurings and secondary and continuation fund vehicles, and help coach and mentor junior associates.

• Juris Doctor from an accredited law school; bar admission in the practicing jurisdiction or eligibility for prompt admission.
• Minimum of two years of substantive private investment fund experience at a national or global law firm.
• Strong working knowledge of federal securities laws, including the Securities Act, the Exchange Act, the Investment Advisers Act, and the Investment Company Act.
• Demonstrated drafting and negotiation experience with fund formation documents.
• Familiarity with fund economics — management fee structures, carried interest, waterfalls, and investor reporting.
• Strong analytical, written, and verbal communication skills, with the ability to manage multiple time-sensitive projects.
• Willingness to mentor junior associates and work both independently and within multidisciplinary teams.
