Growing corporate practice in Chicago is seeking a team-oriented associate to join its venture capital group. The role focuses on representation of early-stage companies and investors across financings, governance, securities compliance, and general corporate matters.

The successful candidate will draft, review, and negotiate venture financing documents (term sheets, stock purchase agreements, SAFEs/convertible notes) and use standard market forms and precedents. Responsibilities include supporting due diligence, advising on equity compensation programs and cap table management (experience with Carta or similar tools preferred), and collaborating with deal teams and company executives.

This is a hands-on role in a busy VC practice that requires staying current on market trends and providing practical, business-focused advice to startups and investors.

3–4 years post-qualification experience in venture capital or startup-focused corporate work
Experience drafting and negotiating venture financing documents and familiarity with NVCA-style documents
Knowledge of equity-compensation arrangements (options, RSUs, ESPPs) and securities compliance for early-stage companies
Familiarity with cap table management platforms (e.g., Carta) and comfort with diligence and transactional workflow
