A nationally recognized Capital Markets practice is seeking a mid-level associate to join its sophisticated corporate finance team. The role involves advising issuers and underwriters on public securities offerings under the Securities Act of 1933, as well as handling general corporate and corporate governance matters.

The ideal candidate will have significant experience advising public companies on Securities Exchange Act of 1934 compliance and a strong academic record. This is an opportunity to work directly with partners, counsel, and associates on cutting-edge transactions in a collaborative, team-oriented environment.

The position offers the chance to collaborate across offices with leading industry groups, including Energy, Financial Services, Real Estate Investment & Finance, and Retail and Consumer Products. Candidates must be licensed in the relevant jurisdiction or become licensed within one year of joining.

Approximately 3–5 years of experience with sophisticated corporate finance transactions
Experience in public securities offerings under the Securities Act of 1933, as issuer's or underwriters' counsel
Significant experience advising public companies under the Securities Exchange Act of 1934
General corporate and corporate governance experience
Strong academic record and exceptional analytical and communication skills
Licensed in the jurisdiction of application preferred; required within one year of joining
