This is a long-term, non-partnership-track role offering high-quality transactional work and structured mentoring.
The role involves drafting and negotiating limited partnership agreements, private placement memoranda, subscription documents, side letters, and related fund documentation for both sponsor-side and institutional investor matters. You will work closely with senior lawyers and receive regular training and mentoring within an active fund platform.
Position is open across multiple U.S. offices with a preferred local office and flexible remote arrangements in specified regions. Candidates should be motivated by a stable career-track role with balanced hours and progressive professional development.
- J.D. from an accredited law school
- 1–2 years of transactional experience (law clinic, internships, clerkship, or associate experience)
- Active bar membership in West Virginia or Pennsylvania, or eligibility for prompt admission
- Coursework or demonstrated interest in securities regulation, investment management, corporate law, or partnership taxation
- Strong writing, communication, attention to detail, and commitment to a long-term career in fund formation
