Senior associate role in a national firm’s Compensation & Benefits practice based in New York. The team advises on executive compensation and employee benefits matters with a strong focus on private equity transactions and ongoing portfolio company work.

The position will handle executive and employee incentive arrangements across acquisitions and divestitures, including grants of profits interests and other LLC incentive awards, management holdco and rollover equity structures, and employment and severance agreements. Regular interaction with M&A teams and tax counsel on IRC Sections 280G and 409A issues is expected.

5+ years of experience advising on executive compensation and employee benefits, including work for private equity sponsors and portfolio companies
Practical experience with grants of profits interests, LLC incentive plans, management holdco/rollover equity and related employment/severance arrangements
Knowledge of IRC Sections 280G and 409A and their application in M&A and equity transactions
Excellent academic credentials and strong written, oral communication and analytical skills
