Apply in confidence →Experienced Compensation & Benefits associate to join a national practice supporting equity and executive compensation matters. The role focuses on advising on equity-based plans, proxy disclosures, employment and severance agreements, and tax-qualified issues under IRC Sections 280G and 409A across M&A and public offering transactions.
Ideal candidates will work with deal teams on transactional and public-company matters, draft and negotiate compensation-related documents, and provide technical tax and ERISA advice. The role is open across multiple U.S. offices.
The expected annual salary range for this role is $260,000 - 390,000; final offers will vary by location and experience. A comprehensive benefits package and parental leave offerings are provided.
- 3 - 6 years of post-qualifying experience in compensation and benefits or employee benefits law
- Demonstrable experience with equity and executive compensation, including equity plan documentation and equity-based transaction work
- Familiarity with proxy disclosure requirements, employment and severance agreements
- Technical knowledge of IRC Sections 280G and 409A and experience advising on M&A and IPO-related compensation issues
- Excellent academic record and strong writing, oral communication and analytical skills
