Top-tier US law firm is seeking a mid-level Compensation & Benefits associate to join its national practice. The role focuses on equity and executive compensation matters across corporate transactions and public company work.

Typical matters include equity plan design and administration, proxy disclosure, employment and severance agreements, tax-qualified and non-qualified deferred compensation (IRC Sections 280G and 409A), and matters arising in mergers, acquisitions and IPOs. The team offers comprehensive benefits and formal onboarding for new hires.

  • 3-6 years of relevant compensation & benefits experience.
  • Hands-on experience with equity and executive compensation, proxy disclosures, employment and severance agreements, and IRC Sections 280G and 409A.
  • Experience supporting M&A and IPO-related compensation work.
  • Excellent writing, oral communication and analytical skills; strong academic credentials.
