National law firm seeking an Associate to join a Compensation & Benefits practice supporting private equity clients and their portfolio companies. The role focuses on executive compensation and employee benefits work across acquisitions, dispositions and ongoing portfolio company matters.

Typical matters include drafting and negotiating equity and incentive arrangements (profits interests, LLC awards, rollover equity, management holdco structures), employment and severance agreements, and counseling on M&A-related compensation issues. Regular interaction with deal teams and portfolio company management is expected.

The position is open across multiple U.S. offices and offers a full range of elective and firm-paid benefits, parental leave and a formal benefits orientation for new hires.

5+ years of post-qualification experience advising on executive compensation and employee benefits
Experience representing private equity sponsors and handling portfolio company matters (profits interests, LLC incentive awards, rollover equity, management holdco vehicles)
Strong M&A-related compensation experience and working knowledge of IRC Sections 280G and 409A
Excellent academic record and superior writing, oral communication and analytical skills
