Compensation & Benefits Associate — Private Equity (Washington, DC)

An established Compensation & Benefits practice group is seeking an experienced Associate to join its team in Washington, DC. The role centers on executive compensation and employee benefits work, with a strong emphasis on representing private equity sponsors through acquisitions, divestitures, and ongoing portfolio company matters.

The position offers substantial client-facing responsibility within a collaborative practice, advising sponsors and privately held companies on the full range of compensation and benefits issues that arise in transactions and day-to-day operations.

Candidates should demonstrate excellent academic credentials along with superior writing, oral communication, and analytical skills, and be ready to take on meaningful responsibility in a fast-paced deal environment.

• 5+ years of experience advising on executive compensation and employee benefits matters
• Emphasis on representing private equity sponsors in acquisitions and divestitures
• Experience handling day-to-day portfolio company matters, including profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements
• Experience with mergers and acquisitions involving privately held companies
• Familiarity with IRC Sections 280G and 409A
• Excellent academic credentials and superior writing, oral communication, and analytical skills
