Compensation & Benefits Attorney — Private Equity — Washington

We are seeking an Associate to join a national compensation and benefits practice with a strong private equity focus. The role centers on advising private equity sponsors on acquisitions and divestitures and supporting portfolio companies on day‑to‑day compensation and benefits matters.

Typical matters include designing and documenting profits interests and other LLC incentive awards, management holdco structures, rollover equity arrangements, and employment and severance agreements. Experience advising on IRC Sections 280G and 409A is essential.

• 5+ years of experience advising on executive compensation and employee benefits matters, with significant private equity deal experience

• Excellent writing, oral communication and analytical skills; strong academic record
