A highly regarded law firm is seeking an Associate to join its Compensation & Benefits practice group. The role focuses on executive compensation and employee benefits work, with a strong emphasis on representing private equity sponsors in acquisitions and divestitures.

The position involves day-to-day portfolio company matters, including grants of profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements. The associate will also handle compensation and benefits issues in mergers and acquisitions involving other privately held companies.

The role requires technical facility with IRC Sections 280G and 409A. 5+ years of experience advising on executive compensation and employee benefits matters
Particular emphasis on representing private equity sponsors in acquisitions and divestitures and portfolio company matters
Experience with profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements
Experience with M&A involving privately held companies
Familiarity with IRC Sections 280G and 409A
Excellent academic credentials and superior writing, oral communication and analytical skills
