A well-established national law firm is seeking an Associate to join its Compensation & Benefits practice in Chicago. The role focuses on advising private equity sponsors and portfolio companies on executive compensation and employee benefits matters, including deal-related and day-to-day commercial work.

Typical matters include structuring and documenting grants of profits interests and other LLC incentive awards, management holdco arrangements, rollover equity, and employment and severance agreements, as well as advising on M&A aspects for privately held companies. The team also handles tax-sensitive issues under IRC Sections 280G and 409A.

5+ years of post-qualification experience advising on executive compensation and employee benefits, with a focus on private equity sponsor and portfolio company matters
Experience with profits interests and other LLC incentive awards, management holdco and rollover equity structures, and employment and severance arrangements
Practical experience with M&A involving privately held companies and with IRC Sections 280G and 409A
Excellent academic credentials and strong writing, oral communication, and analytical skills
