A leading law firm's Compensation & Benefits practice group is seeking an experienced Associate to join its Palo Alto team. The role centers on advising private equity sponsors on executive compensation and employee benefits matters across acquisitions, divestitures, and ongoing portfolio company operations.

Day-to-day work includes structuring grants of profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements. The associate will also handle compensation and benefits issues in mergers and acquisitions involving privately held companies, with regular application of IRC Sections 280G and 409A.

Candidates should be comfortable taking on substantive responsibility in a fast-paced deal environment and working closely with deal teams and portfolio company management.

5+ years of executive compensation and employee benefits experience
Emphasis on representing private equity sponsors in acquisitions and divestitures
Experience with profits interests, LLC incentive awards, management holdco vehicles, rollover equity, and employment/severance arrangements
M&A experience involving privately held companies
Working knowledge of IRC Sections 280G and 409A
Excellent academic credentials and superior writing, oral communication, and analytical skills
