Corporate Associate / Of Counsel — Palo Alto

Join a leading technology and life‑sciences corporate team advising emerging growth companies through formation, venture financings, public offerings and exits. The role offers direct client work across the company lifecycle, from startup rounds through IPO and ongoing public‑company reporting.

The position is open at the Palo Alto office on a hybrid schedule. You will lead equity and capital markets transactions, supervise associates and paralegals, and counsel founders and management teams in fast‑moving biotech and tech matters.

• Minimum 5 years' corporate transactional experience (startups, venture capital, and capital markets).
• Demonstrated experience with IPOs, equity offerings and public company reporting.
• Ability to lead transactions and supervise junior team members.
• Active bar admission and strong academic and drafting skills.
