Corporate Associate — Public Companies & Governance — Minneapolis

Seeking a 4-5 year associate to join a Public Companies & Governance team advising public issuers on securities compliance, disclosure and corporate governance matters. The role will provide day-to-day securities law counseling and support on governance matters such as executive succession, crisis response, shareholder proposals and activism.

Work closely with experienced team members on a mix of matters for clients ranging from newly public companies to large public corporations. Prior exposure to securities offerings, M&A or in-house experience is a plus. The group emphasizes responsiveness, strong written and oral communication, and collaborative client service.

The position follows a hybrid in-office expectation (three days per week) to balance in-person collaboration with flexibility. The anticipated initial base salary range for this role is $245,000–$265,000, with additional benefits and bonus opportunities.

• 4–5 years of securities/corporate experience advising public companies (’34 Act compliance, financial reporting, disclosure)
• Demonstrated corporate governance experience (executive succession, shareholder proposals, activism response)
• Strong academic credentials and excellent written and verbal communication skills
• Ability to work collaboratively, be highly responsive to clients, and handle competing priorities
• Prior experience with securities offerings, M&A, or prior in-house experience preferred
