Cross-Border M&A Associate, Corporate — Miami

Leading US law firm seeks an associate to join a busy cross-border M&A team in Miami. The role focuses on complex domestic and international transactions, with significant work involving the US, Latin America and other global markets.

The associate will handle all phases of transactions: structuring, drafting and negotiating agreements, managing diligence and deal execution, and advising on corporate governance and post-closing integration in cross-border contexts. The team works closely with tax, finance, regulatory and other specialists on sophisticated matters.

• Minimum 3 years' private practice M&A experience (cross-border experience preferred)
• Proven experience drafting and negotiating purchase agreements, investment agreements, joint venture and governance documents
• Experience managing due diligence and coordinating multi-jurisdictional deal teams and local counsel
• Comfort advising public and private companies, sponsors and strategic investors on complex transactions
• Strong project management skills, commercial judgment and client-facing communication
