The role centers on conducting diligence on retirement, health and welfare, and executive compensation arrangements; drafting and reviewing plan documents, amendments and summary plan descriptions; and preparing due diligence reports and transaction-related documents.
Responsibilities include advising on incentive and equity-based programs, change-in-control and severance arrangements, preparing corrective and determination filings under applicable IRS programs, and counseling clients on compliance and recent legal developments affecting qualified retirement and health and welfare plans. Telecommuting or remote work may be permissible under firm policies.
- Juris Doctor (or equivalent) and admission to practice in Pennsylvania.
- Approximately 2 years post-qualification experience in employee benefits/ERISA and executive compensation work.
- Experience drafting plan documents, amendments, summary plan descriptions, and corrective filings under IRS programs.
- Transaction experience: benefits/compensation diligence, drafting due diligence reports, and preparing ancillary transaction documents (e.g., employment agreements, purchase agreement provisions).
- Familiarity with retirement plans (qualified plans), 401(k), health and welfare plans, and incentive/equity award structures.
- Strong drafting, analytical and client-facing skills; ability to work on multiple matters within a team.
