Corporate M&A / Private Equity Associate — New York

An established New York corporate practice is seeking a lateral associate to join its M&A and Private Equity group. The role involves leading and supporting complex public and private mergers and acquisitions, including cross-border transactions with international counterparties.

The position offers hands-on deal responsibility across the full transaction lifecycle, from structuring and diligence through negotiation and closing, working closely with cross-functional teams and external counsel.

• Juris Doctor or Master of Laws degree (or foreign equivalent)
• Admission to a U.S. state bar
• Minimum of four years' experience as an associate or equivalent in a law firm, focused on corporate and M&A matters
• Experience representing private equity and other investors in complex public and private M&A, including cross-border transactions
• Strong transaction document drafting, review, and negotiation skills (purchase agreements, contribution agreements, disclosure schedules, ancillary documents)
• Experience coordinating due diligence, data rooms, and diligence workflows across large document sets
• Ability to advise on deal structuring, risk allocation, and regulatory considerations
