Legal Consultant — Corporate M&A

Apply in confidence →Interim legal consultant role supporting Corporate and M&A work across the UAE, with typical assignments based in Abu Dhabi or Dubai. Assignments are generally full-time for c. six months, with some opportunities for shorter or flexible arrangements.
The role will lead M&A execution: drafting and negotiating SPAs, asset purchase agreements, shareholders’ agreements and JV documentation; managing buy- and sell-side due diligence; coordinating regulatory filings and approvals across UAE regulators and free‑zone/onshore regimes; and advising on corporate governance, restructurings and Shari’a‑compliant transaction structuring.
Assignments involve close collaboration with corporate development teams and in‑house legal teams on cross‑border transactions, change‑of‑control processes and post‑completion integration and corporate secretarial matters.
- Minimum 5 years post‑qualification experience in Corporate/M&A at a top‑tier law firm
- Proven experience drafting and negotiating SPAs, asset purchase agreements, shareholders’ agreements and joint venture documents
- Experience leading buy‑side and sell‑side due diligence and coordinating multi‑jurisdictional counsel
- Familiarity with UAE regulators (DFSA, ADGM/FSRA, SCA, CBUAE) and free‑zone/onshore corporate regimes
- Experience with Shari’a‑compliant and cross‑border transaction structuring preferred
- In‑house M&A or corporate development experience advantageous; fluency in Arabic preferred
- Holding a practising certificate (or equivalent) entitling you to practise in the region
- Consultant mindset: highly professional, flexible, proactive about career development and able to work autonomously
