Private Equity Attorney — Corporate

Top-tier US firm seeking a 3rd–6th year private equity attorney to join the corporate team. The role focuses on sponsor-side fund and portfolio company work in a fast-paced, deal-driven environment.

Day-to-day responsibilities include drafting and negotiating purchase and merger agreements, LLC and LP agreements, and ancillary transaction documents, and advising on routine private equity and fund matters. The team-oriented role requires strong commercial judgment and the ability to act as an extension of client business teams.

The firm values excellent academic credentials, prior large-firm private equity/M&A experience, and strong drafting, analytical, project-management and interpersonal skills.

• 3–6 years post-qualification experience with private equity and M&A focus
• Experience drafting and negotiating purchase/merger agreements and LLC/LP agreements
• Strong drafting, writing, analytical and project-management skills
• Prior large-firm experience and excellent academic record
