Senior Associate, Mergers & Acquisitions — New York

We are seeking a Senior Associate to join a leading international corporate team in New York to lead on public and private M&A matters. The role will handle stock and asset purchases and sales, public company mergers and tender offers, joint ventures, restructurings and minority or consortium investments across domestic and cross‑border transactions.

Day‑to‑day responsibilities include drafting, negotiating and supervising core transaction documentation; managing multi‑jurisdictional due diligence; coordinating closing mechanics and regulatory filings; and acting as a primary client contact delivering commercially focused advice. The role also involves mentoring junior lawyers, collaborating with other practice groups (finance, tax, antitrust, IP, employment, regulatory) and contributing to business development and thought leadership.

• J.D. or foreign equivalent.
• Approximately 4 years post‑qualification experience in M&A/corporate transactions; must be admitted to practice in New York.
• Proven experience drafting and negotiating merger agreements, stock/asset purchase agreements, JV and shareholders' agreements, and ancillary documents.
• Experience managing multi‑jurisdictional due diligence, coordinating closings and advising on U.S. federal securities law issues and related filings.
• Strong client relationship skills, commercial judgment, and experience supervising and mentoring junior lawyers.
