Senior Associate / Of Counsel, Private Equity M&A — Dallas

Senior Associate or Of Counsel opportunity in a national law firm’s Dallas corporate group, supporting private equity clients and their portfolio companies on complex transactions. Work will include equity investments, co-investments, buyouts and related M&A work, plus day-to-day counseling for portfolio companies.

The role requires hands-on drafting and negotiation of LLC, LP, shareholder and investor rights agreements, incentive and management equity arrangements, and other ancillary transaction documents. You will collaborate with deal teams across offices on cross-border and domestic matters.

• JD from an ABA-accredited law school with strong academic credentials
• Approximately 5 years of private equity transactional experience advising PE firms and/or portfolio companies
• Experience drafting and negotiating LLC, LP, shareholder/investor rights and management equity documents
• Texas bar admission or eligibility to become admitted in Texas
• Strong written and oral communication skills
