Senior Corporate Associate — Fort Lauderdale

Senior-level associate role in a national corporate practice based in Fort Lauderdale, focused on capital markets and public company work. The team advises on domestic and cross-border securities offerings, reporting and compliance under the ’34 Act, and corporate governance for public companies.

Day-to-day work includes drafting and negotiating securities offering documents (e.g. Rule 144A, S-1/S-3, S-4), preparing SEC filings and proxy statements, advising on capital-raising and M&A-related registration statements, and coordinating with regulatory bodies on compliance matters.

The group values candidates who can independently manage complex transactions, interact directly with clients, and contribute to a collaborative team. The office is open to considering strong candidates outside of Florida.

• JD from an ABA-accredited law school.
• 8+ years of experience with capital markets and securities work (domestic and cross-border).
• Proven experience preparing SEC filings, securities offering documents, proxy statements and advising on public company reporting and corporate governance.
• Excellent drafting, negotiation and client-facing skills; strong attention to detail and ability to manage complex transactions independently.
