Seeking a mid-level finance associate to join a global finance team in New York focused on securitization and structured finance. The role involves drafting, negotiating and documenting indentures, credit agreements, offering circulars and related documents for capital markets and asset-backed transactions.

You will provide securitization-specific structuring advice on cross-border financings, act as a U.S. law resource for international colleagues, and support complex transactions that raise issues such as credit risk retention, true sale, ERISA and tax considerations.

The position works with large financial institutions and corporate issuers on Rule 144A/Reg S and other U.S. securities matters, and participates in signing, closing and post-closing processes for multi-jurisdictional deals.

Approximately 3 years' PQE in capital markets, securitization or structured finance work
Experience drafting and negotiating indentures, credit agreements and offering documents
Comfort advising on U.S. securities (e.g. Rule 144A/Reg S), credit risk retention, bankruptcy/true sale, ERISA and tax issues in securitizations
Experience coordinating cross-border transactions with overseas teams
Master of Laws or foreign equivalent and admission to practice in New York
