Day-to-day work will include drafting and advising on equity and executive compensation arrangements, proxy disclosure, employment and severance agreements, and counseling on IRC Sections 280G and 409A in the context of M&A and IPO transactions.
The team offers a comprehensive benefits program and supportive leave policies. This is a multi-office role open across the United States.
- 3–6 years of relevant experience in compensation and benefits (equity and executive compensation preferred)
- Experience with proxy disclosure, employment/severance agreements, and IRC Sections 280G and 409A
- Transactional experience supporting M&A and IPO matters
- Excellent writing, oral communication and analytical skills; strong academic credentials
