Senior-level associate role in a national capital markets group based in the West Palm Beach office of a large international firm. The position offers exposure to U.S. and cross-border securities matters, working on public and private equity and debt offerings, SPAC-related transactions, and ongoing SEC reporting and governance counseling.

The team regularly represents issuers, underwriters and financial sponsors across a range of industries. The role includes drafting and negotiating offering documents and disclosure filings, interfacing with regulators, and advising public company clients on reporting and corporate governance matters.

2–3 years of transactional capital markets experience (public and private equity offerings, IPOs and follow-on offerings).
Experience preparing registration statements, proxy statements and related Securities Act/Exchange Act filings; familiarity with S-4s and business combination/deSPAC work preferred.
Comfort interfacing with the SEC and advising on ongoing reporting (10-K, 10-Q, 8-K, proxy) and corporate governance matters.
Strong drafting, negotiation and client-management skills; ability to work on cross-border transactions.
Admission to the Florida Bar or eligibility for admission required.
