Compensation & Benefits Attorney, Employment & Labor — New York

A growing Compensation & Benefits practice is seeking an Associate with solid experience advising on equity and executive compensation matters. The role will support transactions and corporate work including M&A and IPO matters, as well as routine plan and agreement work and proxy disclosure matters.

Typical matters include analysis under IRC Sections 280G and 409A, equity-based compensation, executive employment and severance agreements, and related disclosure and regulatory compliance. • 3–6 years' experience in compensation and benefits (equity & executive compensation focus)
• Practical experience with IRC Sections 280G and 409A, proxy disclosures, employment/severance agreements, and compensation issues in M&A and IPOs
• Excellent academic credentials and strong writing, oral communication, and analytical skills
