Seeking an associate to join a US-based Emerging Business & Venture Capital group. The role is open to multiple offices across the United States and will support a broad startup and growth-company practice.

Work will focus on company formations, venture financings (convertible notes, SAFEs, priced seed and series rounds), venture capital and private equity transactions, federal and state securities compliance, and related corporate matters for venture-backed and growth-stage companies.

2-5 years' transactional experience (PQE)
Experience with startups and emerging growth companies — formations, financings (convertible notes, SAFEs, priced Seed/Series rounds)
Experience in VC/private equity transactions, federal securities and state blue-sky compliance, and private-company M&A/divestitures
Familiarity with equity compensation, consulting/employment arrangements, and general corporate governance
Prior experience at a reputable law firm with an emerging growth practice, a venture fund, or in-house at a well-funded technology startup preferred
